When Stephen Dunham describes why he took the job of general counsel at Pennsylvania State University, following the revelations of a child-sexual-abuse scandal there, he doesn't focus on the complex challenge of defending the university from numerous lawsuits and investigations.

Instead, Mr. Dunham says, the opportunity to make significant changes in the university's governance practices, including the operations and policies of the Board of Trustees, was the main reason he left his
